The Federal Trade Commission gave the go-ahead (PDF) for private-equity manager Warburg Pincus, New York, to purchase ambulance-services and fire-protection company Rural/Metro Corp., Scottsdale, Ariz., for $437 million.
FTC lets Rural/Metro deal proceed
The two companies announced late last month that they had signed a definitive agreement for Warburg Pincus to buy the company in an all-cash deal. Rural/Metro’s board had approved the deal when first announced, and recommended that shareholders do the same. The deal is expected to close by the end of June pending regulatory and shareholder approval.
The FTC granted the deal early termination under the Hart-Scott-Rodino Act, which requires notification and review of significant mergers and acquisitions.
