Dialysis provider U.S. Renal Care said it has signed a definitive agreement to acquire Dialysis Corporation of America for about $112 million. Based in Plano, Texas, U.S. Renal Care, or USRC, said in a news release that through a subsidiary, it will make a tender offer for all of the outstanding common shares of Linthicum, Md.-based Dialysis Corporation of America, or DCA, for $11.25 per share in cash, followed by a merger to acquire the remaining shares of DCA at the same cash price paid in the tender offer.

After the transaction—which is expected to close in May—U.S. Renal Care will provide dialysis services to about 5,500 patients through 84 outpatient dialysis facilities across nine states, more than 12 home dialysis programs, and 24 dialysis programs at acute and specialty-hospital facilities.
“USRC and DCA have a shared vision that is focused on providing outstanding dialysis services to patients with end stage renal disease,” said Chris Brengard, chairman and CEO of U.S. Renal Care, in a news release. “USRC and DCA each have built strong regional operations and this transaction permits us to build a more efficient and stronger national operation.”
Thomas Langbein, chairman of the board for DCA, said there will be discussions about the management team as U.S. Renal Care works to “try and put the right group together.”
U.S. Renal Care was established in 2000 and works in partnership with nephrologists to develop, acquire and operate outpatient treatment centers for those suffering from chronic kidney failure. The company operates 47 dialysis clinics in Texas and Arkansas. Dialysis Corporation of American operates freestanding kidney hemodialysis centers in Georgia, Maryland, New Jersey, Ohio, Pennsylvania, South Carolina and Virginia, and provides in-hospital dialysis services on a contract basis to certain hospitals in those states.
