Merge Healthcare, Milwaukee, a provider of information technology systems for radiology, announced it has reached a tentative agreement with Amicas, Boston, also a provider of health IT for radiology, for $6.05 per share, or a total of $248 million. Merge announced its intention to bid on Amicas last month.
In a news release, Merge said it would finance the purchase with $200 million in new debt and $40 million in new common stock and nonvoting preferred stock. The agreement, which has been approved by the Amicas board of directors, is contingent upon the successful tender offer of a minimum number of shares of Amicas common stock, according to the release. Closing is expected in the second quarter, according to the release.
