Dell, Round Rock, Texas, agreed to acquire Perot Systems Corp., a major healthcare information technology company based in Plano, Texas, for approximately $3.9 billion, the companies announced.
The cash deal, approved by the prospective partners on Sept. 20, is expected to close between November 2009 and January 2010, pending customary government approvals, Dell said in a news release.
Once complete, Perot Systems CEO Peter Altabef will oversee Perot Systems' operations as Dell's service unit, and Ross Perot Jr., board chairman of Perot Systems, will be considered for appointment as a Dell director, the release said. In April, Dell and Perot Systems unveiled a joint marketing deal at the Healthcare Information and Management Systems Society's conference.
Earlier this month, Dell announced its plans to enter the electronic health-record market.
