Affiliated Computer Services, whose chief executive officer and another top official resigned recently over backdating of stock options, said Monday it has hired a Merck & Co. executive as chief ethics officer.
Affiliated Computer Services said Daisy Fernandez Seebach, 50, would join the company today. She has more than 25 years of experience in labor and employment law, most recently as the senior ethics officer and ombudsman at Merck, ACS said.
In November, the CEO and top financial officer resigned after an investigation found they had manipulated grant dates for stock options in violation of the company's ethics code. The company has said both employees will remain on the job through June.
Affiliated Computer Services said it began looking into its option-granting practices after being notified of investigations by the Securities and Exchange Commission and federal prosecutors in New York. The company has also said it might seek to recover profits it believes that another former CEO received by backdating option-grant dates.
