HealthSouth Corp., Birmingham, Ala., set a Dec. 29 date for its first shareholders meeting since 2002 and said it expects shareholders to elect 10 directors to its board. The vote could officially remove from the board former Chief Executive Officer Richard Scrushy, who was fired following disclosure of massive accounting fraud at the company. Scrushy has been barred from board meetings but remains a member until a shareholder vote takes place. HealthSouth has not held a shareholders meeting in the past few years while it adjusted financial reports to reflect the fraud. The company recently filed its final delayed financial report, for 2004. Separately, a U.S. District judge in Birmingham set an April 2, 2007, trial date in the Securities and Exchange Commission's lawsuit against Scrushy. The judge previously called for mediation. A jury acquitted Scrushy in a criminal fraud trial this summer. -- by Joseph Mantone
