LifePoint Hospitals and Province Hospital Co., both based in Brentwood, Tenn., extended some deadlines in LifePoint's $1.7 billion acquisition of Province, pushing the deal's expected close from March 31 into the second quarter. A March 31 deadline for canceling the transaction was moved to May 1, and a deadline for scuttling the deal if regulatory approvals have not been received was moved to June 30 from May 31. The acquisition has cleared the Hart-Scott-Rodino antitrust waiting period, but the Securities and Exchange Commission still must sign off on a registration statement for stock LifePoint plans to issue to Province shareholders. LifePoint will have 49 hospitals after the acquisition. Separately, Province said it needs an extra 15 days to complete its annual securities filing because the company has not finished an assessment of how its internal controls affect its financial statements, as required by the Sarbanes-Oxley Act.
