Baxter International, as part of its global expansion, has agreed to acquire the dialysis, intravenous therapy and irrigation solutions businesses of Bieffe Medital S.P.A., Lugano, Switzerland, for $185 million in cash plus the assumption of about $50 million of the company's debt.
Deerfield, Ill.-based Baxter is buying those businesses from Bieffe Medital's parent, Clark S.R.L. of Milan, Italy. The deal includes Bieffe Medital's flexible container technology, used in the dialysis and IV businesses.
Clark will retain the surgical and pharmaceutical businesses of Bieffe Medital, a private company that makes a range of medical products and manufactures its own production equipment. The transaction is expected to close before year-end.
