Epic's shareholders last week approved a $7-per-share acquisition offer from HealthTrust-The Hospital Co. by a 99% majority.
The shareholder meeting in Dallas was necessary to approve the $1 billion acquisition of the Dallas-based company by HealthTrust to form a 115-hospital chain.
HealthTrust is based in Nashville, Tenn., but executives said last week that after the acquisition, the company will keep some corporate services in Dallas as well as a regional office. Those services are likely to include information system support for Epic's 34 hospitals. The number of Epic's 240 corporate employees in Dallas who will retain their jobs will be decided after the acquisition is completed on May 4, executives said.
In addition, shareholders approved by a 98% majority a compensation package for Epic's top executives. That vote was necessary for tax purposes (April 18, p. 18).
